A partnership is a type of business entity in which partners (owners) share with each other the profits or losses of the business. Partnerships are often favored over corporations for taxation purposes, as the partnership structure does not generally incur a tax on profits before they are distributed to the partners (i.e. there is no dividend tax levied). However, depending on the partnership structure and the jurisdiction in which it operates, owners of a partnership may be exposed to greater personal liability than they would as shareholders of a corporation.

In civil law systems, a partnership is a nominate contract between individuals who, in a spirit of cooperation, agree to carry on an enterprise; contribute to it by combining property, knowledge or activities; and share its profit. Partners may have a partnership agreement, or declaration of partnership and in some jurisdictions such agreements may be registered and available for public inspection. In many countries, a partnership is also considered to be a legal entity, although different legal systems reach different conclusions on this point.

A. A partnership is a registered legal entity subject to the laws of the State in which it does business. Your State has a government agency, something like a "corporations commission", that registers business to operate and issues the permits required. Contact your State government; follow the instructions. There are some basic features of partnerships that apply in all, or almost all States. Look them up on the Internet.

What are my obligations to the company after I am bought out of the partnership?
Q. I am in a partnership with two other partners. We do not have an operations or partnership agreement. We also do not have a buyout agreement. My partners want to buy me out and I want to sell. The company is not yet profitable and the only value of my buyout would be my initial investment to start the business. If I sell my share of the partnership does that end my obligations and liabilities to the company and to my partners? In other words, if I agree to sell my share to them do I just walk away with what I am paid and never have to deal with the company again?

A. Watch for limitations which may find their way in the agreement. They may have a competition clause in it. Other than that take the money and run. One thing to watch out for is pending agreements that my be prompting them to deal you out. You should have an entitlement to income from any deals in the works at the agreement time.

what's the difference between gay civil partnership and straight marriage?
Q. I thought the only difference is that there is no religious ceremony in the gay civil partnership but is there something else? Thanks.

A. As somebody else wrote, it's about 1100 federal benefits that people is straight marrages get that people in gay civial partnerships don't get. To correct somebody else, marriage did not start with religion. Marraige started when a community recognized that two people were in a commited relationship and off limits to others. And up until about two hundred years ago marriage was largely a matter of property rights and to verify that one's children were really one's children. Marriage as we know it today hasn't been around that long.
